Payment Terms

Services are provided on a month-to-month basis unless explicitly agreed otherwise. Payments will be processed via third-party platforms: PayPal, Stripe, or Square. Clients are responsible for any additional fees incurred by third-party payment processors (including transaction fees or currency conversion charges). These fees will be added to the client's payment amount and must be paid in full.Refunds are available only if there is no visible improvement in website traffic, rankings, or sales. Refund eligibility will be assessed based on data from Google Analytics, website traffic reports, and engagement metrics. Refunds for single-month engagements will be granted only if there is no measurable progress in agreed deliverables.Discounts for longer-term commitments are not currently offered but may be introduced in the future.

Price Changes

Ammolite Digital Marketing Agency reserves the right to change service prices. Active clients will be informed of any price changes at least 14 days in advance and will receive a percentage discount on their first payment following the price change. If legal, regulatory, or tax-related changes impact service prices, the agency reserves the right to modify pricing immediately, with clients notified as soon as possible.

Cancellation Policy

Clients may cancel services with at least 7 days' notice before the end of the current billing cycle to avoid charges for the following month. For cancellations during the current billing cycle, clients will be charged 50% of the monthly fee to cover work already initiated. If no measurable progress has been achieved (as outlined in the refund policy), clients may request a full refund instead of incurring the cancellation fee.

Ownership and Accreditation

Clients fully own all deliverables created by Ammolite Digital Marketing Agency upon full payment. For services provided free of charge, accreditation is required for a minimum of 6 months, including the text: "Services provided by Ammolite Digital Marketing Agency" with a link to our website. For paid services, accreditation is optional but appreciated, and clients who opt for it will receive a 5% discount on their next invoice. Clients are granted the right to modify or reuse content but are prohibited from selling it without explicit written consent from the agency. For content distribution, clients must contact the agency for permission; unauthorized distribution may result in legal action.

Free Services as Part of Promotional Offers

Any free services provided by Ammolite Digital Marketing Agency will always be part of a promotional offer and will be subject to the specific terms outlined in the offer at the time of service. Free services do not come with any implied guarantees of results or ongoing support, and may have limitations in scope or duration as stated in the promotional terms. Clients receiving free services as part of a promotion must comply with the conditions specified for that offer. Furthermore, free services are not eligible for refunds unless explicitly stated in the promotional offer. If free services are included as part of a paid package or engagement, the same refund, cancellation, and ownership policies apply as to the paid services.

Client Responsibilities

Clients are required to provide essential inputs (branding guidelines, website analytics access, etc.) in a timely manner, ideally within 7 days of purchasing the service. If input is delayed, Ammolite Digital Marketing Agency will create templates and continue to request feedback, but delays may affect project timelines without incurring penalties for the agency. Clients are responsible for ensuring the accuracy and completeness of all materials provided to the agency. Inaccurate or incomplete information may affect the quality and timely delivery of services but will not result in penalties for the agency.

Consultations and Disputes

If clients have any disputes or issues, we will offer the opportunity to book a consultation to resolve the matter. In the event of a dispute that cannot be resolved through direct communication, both parties agree to attempt mediation in good faith before pursuing other legal remedies. Mediation will be conducted by a neutral third party, and both parties will share the costs equally. If mediation fails, the dispute may be resolved through binding arbitration, in accordance with applicable laws.

Performance Expectations and Disclaimers

Ammolite Digital Marketing Agency is committed to delivering measurable progress within the initial months of service. While significant SEO results typically require 3-6 months, clients will receive monthly progress updates, including detailed reports on website traffic, rankings, and other relevant metrics. For single-month engagements, the focus will be on providing detailed audits, actionable recommendations, and measurable groundwork that clients can build upon.

However, clients acknowledge and agree that SEO, copywriting, and email marketing results are influenced by multiple factors, some of which are outside the agency’s control. These factors may include, but are not limited to:

  • Search Engine Algorithm Changes: Search engines, such as Google, frequently update their algorithms. These updates can affect website rankings and search visibility, sometimes causing immediate or long-term fluctuations in performance.
  • Third-Party Platform Disruptions: The performance of services may also be impacted by issues or disruptions in third-party tools or platforms, such as website hosting services, analytics platforms, email service providers, or social media platforms.
  • Industry Competition and Market Changes: Shifts in market dynamics, competitor strategies, and industry trends can influence the outcomes of digital marketing campaigns. These factors are outside the agency's control but may directly affect results.
  • Technical Issues or Site Limitations: Website design, technical configurations, or infrastructure limitations may impact the effectiveness of digital marketing efforts. The agency is not liable for issues arising from these limitations unless explicitly addressed in the service agreement.
  • Client-Supplied Materials and Input: The accuracy and timeliness of the materials and feedback provided by the client (e.g., branding guidelines, website analytics, and content) are essential for the timely execution of services. Delays or errors in these materials may affect the agency's ability to deliver results as planned.

While Ammolite Digital Marketing Agency strives to implement industry best practices and deliver consistent results, these external factors mean that specific outcomes (e.g., traffic increases, ranking improvements, sales conversions) are not guaranteed. The agency will make every reasonable effort to optimize the effectiveness of services but cannot be held responsible for performance issues caused by the aforementioned external factors.

Clients are encouraged to maintain realistic expectations about the time required to see results, especially for SEO services. It typically takes 3-6 months for substantial results to materialize, and even then, success is contingent on multiple variables, including those beyond the agency’s control.

Invoices and Legal Status

Ammolite Digital Marketing Agency is in the process of registering as a legal business entity. Invoices for services will be issued under the agency's name once the legal registration is completed. Until then, clients who require an official invoice for their payment must contact us directly at contact@ammolite.agency. We will provide invoices reflecting the payments made and the services rendered during the interim period until official registration is complete.

Limitation of Liability

Ammolite Digital Marketing Agency will not be liable for any indirect, incidental, special, or consequential damages arising from the use of its services, including but not limited to lost profits, business interruptions, or data loss. While we make every effort to provide high-quality and effective services, clients acknowledge that external factors, including but not limited to search engine algorithm updates, third-party disruptions, market conditions, and client-supplied materials, can impact the outcomes of digital marketing campaigns. The agency's liability is limited to the amount paid by the client for the specific service that gave rise to the claim.

Force Majeure

Ammolite Digital Marketing Agency shall not be held responsible for delays or failure to perform any obligations under this agreement due to events beyond the agency's control, including but not limited to natural disasters, pandemics, acts of government, labor disputes, internet service disruptions, or any other unforeseen circumstances. In the event of a force majeure, both parties agree to work in good faith to reach a reasonable solution. If the agency is unable to fulfill its obligations for more than 30 days due to such events, the client may choose to terminate the agreement without incurring additional charges for unfulfilled services.

Updates to Terms and Services

These Terms and Services may be updated to reflect changes in our operations, especially after the agency becomes legally registered. Updated terms will immediately apply to all new clients. For active clients, updated terms will take effect after the completion of their current paid service cycle. Clients will be notified of updates via email and banners on our website, and the revised terms will be available on our website. By continuing to use Ammolite Digital Marketing Agency’s services after updated Terms and Services are posted, clients agree to be bound by the revised terms. Clients are responsible for reviewing the updated terms regularly to stay informed of any changes.
